Terms of Service (TOS)

Welcome to Spark Parts Consulting! By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Overview of Services
Spark Parts Consulting ("we," "us," or "our") provides electrical consulting services, including but not limited to:
Material sourcing and cost optimization
Blueprint and one-line drawing take-offs
Utility company requirement research
On-demand consulting and advisory services
Our services are offered through a subscription-based model. Or one off service help. By subscribing to our services, you agree to the terms outlined in this agreement.
2. Subscription and Billing
Subscription Plans: We offer multiple subscription tiers, as described on our website.
Billing: Subscriptions are billed on a monthly basis. Payments are due at the beginning of each billing cycle.
Auto-Renewal: Subscriptions automatically renew unless canceled before the start of the next billing cycle.
Cancellation and Pausing: Clients may cancel or pause their subscriptions at any time. Cancellation or pausing will take effect upon confirmed request. Clients are allowed up to 5 pauses per month. Cancellations will stop membership renewal.
3. Refer A Friend
Refer a Friend affiliate program applies only to new accounts that subscribe to a monthly membership. This does not apply for a single item search
If membership ends without renewal, affiliate program ends for that account. Pausing a subscription does not affect affiliate program, only cancelation.
Payments for referral / affiliate program are subject to approval from Spark Parts Consulting
Spark Parts Consulting reserves the right to cancel / end / terminate affiliate relations at any time
Affiliates requests have to go through approval process confirming relation between affiliate and company listed for referral
4. Client Responsibilities
Accurate Information: You agree to provide accurate and complete information when signing up and using our services.
Authorized Use: Our services are intended solely for the use of the subscribing business and cannot be resold, redistributed, or used for unauthorized purposes.
Collaboration: You agree to provide necessary information and documents in a timely manner to ensure effective service delivery.
5. Confidentiality and Data Protection
Confidentiality: We will maintain the confidentiality of any proprietary information shared with us during the consulting process.
Data Security: We take reasonable measures to protect your data. However, we cannot guarantee absolute security and are not responsible for unauthorized access or breaches beyond our control.
6. Service Availability
Request Handling: Requests are handled one at a time, in accordance with the terms of your subscription tier.
Response Time: We strive to respond to client requests promptly but do not guarantee specific response times unless stated in the subscription plan.
Service Interruptions: We are not liable for interruptions in service due to circumstances beyond our control, such as technical issues or force majeure events.
7. Intellectual Property
Ownership: All content, materials, and tools provided by Spark Parts Consulting remain our property unless otherwise agreed in writing.
Limited License: You are granted a non-exclusive, non-transferable license to use the deliverables provided through our services for internal business purposes.
8. Disclaimer of Warranties
Our services are provided "as is" without any warranties, express or implied. We do not guarantee specific outcomes or results from the use of our services.
9. Limitation of Liability
To the fullest extent permitted by law, Spark Parts Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
10. Termination
We reserve the right to suspend or terminate your subscription and access to our services if you violate these Terms or engage in unlawful behavior.
11. Dispute Resolution and Arbitration
Arbitration Agreement: Any dispute, controversy, or claim arising out of or relating to these Terms, including any breach or termination, shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
Location and Language: Arbitration shall take place in Oroville, CA, and the proceedings will be conducted in English.
Costs and Fees: Each party shall bear its own arbitration fees, except as otherwise provided by the AAA rules or as determined by the arbitrator.
Confidentiality: All arbitration proceedings, including any documents submitted and the final award, shall remain confidential.
Waiver of Class Actions: You agree that all disputes will be resolved on an individual basis and that you waive the right to participate in any class, consolidated, or representative action.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
13. Changes to the Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website, and your continued use of our services constitutes acceptance of the updated Terms.
14. Content & Use
Any work done, unless specified by the client, is subject to being made into educational content.
Videos and resources will maintain confidentiality, not identifying jobs or parties involved
15. Disclosure
Spark Parts Consulting doesn’t do Electrical Engineering.
By using our services designed for licensed electricians, You the ‘Electrician’ agree and take responsibility for the documents submitted to the governing bodies for electrical work.
Spark Parts Consulting does not bare responsibility for incomplete / inaccurate documentation after receiving a sign off / written approval of the work being complete by You the ‘Electrician’.
Although we stive for being thorough and complete, rules and regulations change. By using our services you agree to these terms.
Drawings:
Our One Lines, SLD’s or any other ‘Drawing’ adjacent work we provide is to be approved by governing bodies for electrical work. We primarily work off of rough designs submitted by licensed Electricians at the time of work, digitizing and polishing documents to be presented.
If an original design is requested it is to be reviewed and approved by You the ‘Electrician’ prior to submittal to the governing bodies for electrical.
By approving the design presented, You the ‘Electrician’ take full responsibility for the design.
Take-offs
Our take-off services (and subsequent estimating services if you so choose to use them) are our best approximation for the materials needed for the job.
While we strive for complete accuracy, no one will be able to determine 100% correctly what is required for a job. Especially if there are alterations to the plan, incomplete, or missing information, etc.
By using our take-off numbers and material list for bid, (and by extension our estimating figures for bid) you agree the takeoff is thorough and complete. By using our material list, you are taking responsibility for any under/overages associated with the project.
Our Estimating services largely use readily available prices through main-stream sources. This is to give a rough idea (an estimate) of the average cost of materials. The actual cost of goods can vary wildly depending on when the bid is placed vs. when the project comes to fruition, individual account pricing through distributors, fluctuations in raw material costs, etc.
By using our numbers / estimates You the ‘Electrician’ assume responsibility for the figures you provide to your client.
Spark Parts Consulting does not bare responsibility for any loss / gain due to mis-quoting / mis-bidding a job.
